1. 独立承包人关系(重要)

2. 委托方式

2.2 陪玩师可同时为其他平台或客户提供服务,但不得:
- 将 TetraGG 客户引导至其他平台;
- 在 TetraGG 工作时间内同时承接其他订单导致 SLA 违约。
3. 佣金结构(分级)

3.1 升降级评估每季度第一周由平台后台自动结算。 3.2 陪玩师所得即为含税总收入,所得税由陪玩师自行申报。
4. 结算
4.1 结算周期:每周一结算上一个自然周(周一 00:00 – 周日 23:59 AEST)订单。
4.2 支付方式:Wise(国际转账) / PayID(澳洲本地) / 支付宝(中国大陆) / USDT(TRC-20)。
4.3 最低提现金额:AUD $50(或等值)。未达起付线的余额自动结转下周。
4.4 税务凭证:陪玩师每月可在后台下载 Recipient Created Tax Invoice (RCTI),作为收入凭证。
5. 行为规范
陪玩师在合作期间须:
- ✅ 完成订单时间不超过页面承诺 SLA 的 110%;
- ✅ 全程使用与客户匹配的 VPN 节点;
- ✅ 在 Discord 工单中保持 24 小时内响应;
- ❌ 不得与客户私下交易、加微信/QQ 后绕开平台;
- ❌ 不得泄露客户账号凭据、聊天记录、个人信息;
- ❌ 不得在语音/文字中辱骂队友、对手或客户;
- ❌ 不得使用任何外挂、脚本、第三方辅助软件;

6. 绩效指标
6.1 维持 Verified 级别的最低要求:

6.2 连续 30 天指标低于阈值的,自动降级;连续 90 天的,平台有权终止合作。
7. 违约处罚

7.1 上述违约金为双方真实预估,不构成 penalty(惩罚性条款),符合澳大利亚普通法 Andrews v ANZ 标准。
8. 知识产权与保密
8.1 陪玩师确认以下信息为平台机密信息:
- 客户名单、联系方式、订单历史;
- 客户账号凭据、对局录像;
- 平台内部价格策略、风控规则、陪玩师后台工具;
- 平台与第三方(Riot、支付通道、VPN 提供商)的合作内容。
8.2 陪玩师在合作期内及合作终止后 3 年内承担保密义务。
8.3 任何由陪玩师在执行订单中产生的对局录像、教学内容版权归平台所有;陪玩师授予平台不可撤销使用许可。
9. 赔偿与免责(Indemnity)
9.1 陪玩师应赔偿并使平台免受损害,对于:
- 因陪玩师个人行为(如使用外挂、辱骂)导致的客户索赔;
- 因陪玩师泄露客户信息引发的 Privacy Act 投诉或诉讼;
- 因陪玩师虚假声明(如冒用他人 Riot 段位)引发的客户索赔;
- 因陪玩师在第三国未申报收入引发的税务纠纷。
9.2 平台仅对因平台自身重大过失或故意导致的损失承担责任,赔偿上限为陪玩师过去 12 个月所得佣金。
10. 终止
10.1 任意一方可以书面(邮件即可)通知对方 7 天后终止合作,无需理由。
10.2 平台立即终止情形:陪玩师发生第 7 条所列严重违约的,无需通知期,立即生效。
10.3 终止后未结算佣金(除被没收部分外)应在 14 天内一次性支付。
11. 存续条款
第 8 条(保密)、第 9 条(赔偿)、第 12 条(管辖)在协议终止后仍然有效。
12. 适用法律与管辖
本协议适用 新南威尔士州法律;争议由 新南威尔士州法院专属管辖。

1. Independent Contractor Relationship (CRITICAL)
1.1 The Booster engages with TetraGG as an independent contractor. This Agreement does NOT create an employment, partnership, joint venture or agency relationship. This Agreement is structured to comply with the Fair Work Act 2009 (Cth) and Independent Contractors Act 2006 (Cth) definitions of independent contractor, and shall be interpreted in accordance with the "primacy of the contract" principle established in CFMMEU v Personnel Contracting Pty Ltd [2022] HCA 1 and ZG Operations Australia Pty Ltd v Jamsek [2022] HCA 2.
1.2 The Platform shall NOT:
- Withhold PAYG income tax;
- Pay Superannuation Guarantee;
- Provide annual leave, sick leave, long service leave;
- Carry WorkCover insurance covering the Booster.
1.3 The Booster is solely responsible for:
- Obtaining and maintaining an ABN (if AU resident) or local tax ID (if overseas);
- Lodging income tax returns with the ATO or their local tax authority;
- Registering for GST upon crossing the AUD$75,000 threshold;
- Procuring own business / public liability insurance where applicable.
1.4 Both parties confirm this Agreement is not sham contracting; the genuine intent is an independent contractor relationship.
2. Engagement
2.1 Per-order basis — Booster claims orders freely from the Platform dashboard. No minimum hours, no exclusivity.
2.2 Booster may serve other platforms or clients but shall not:
- Divert TetraGG customers to other platforms;
- Cause SLA breach by overlapping orders.
3. Tiered Commission Structure

3.1 Tier evaluation runs automatically on the first Monday of each quarter. 3.2 Booster earnings are gross of tax; Booster lodges own returns.
4. Payment Schedule
4.1 Cycle: Weekly, paid every Monday for the prior natural week (Mon 00:00 – Sun 23:59 AEST).
4.2 Rails: Wise (international) / PayID (AU domestic) / Alipay (Mainland China) / USDT (TRC-20).
4.3 Minimum withdrawal: AUD $50 (or equivalent). Sub-threshold balances roll to next week.
4.4 Tax invoice: Booster may download a Recipient Created Tax Invoice (RCTI) monthly from the dashboard.
5. Conduct Standards
The Booster shall:
- ✅ Complete orders within 110% of advertised SLA;
- ✅ Use VPN matched to client region throughout;
- ✅ Respond to Discord tickets within 24 hours;
- ❌ NOT engage in private trading, NOT add WeChat/QQ to bypass the Platform;
- ❌ NOT leak client credentials, chat logs or personal information;
- ❌ NOT engage in toxicity toward teammates, opponents or clients;
- ❌ NOT use cheats, scripts or third-party software;
- ❌ NOT boost accounts of persons under 18 absent parental consent on file.
6. Performance Metrics
6.1 To maintain Verified status:
- Rolling 30-day avg rating ≥4.6;
- Order completion rate ≥95%;
- On-time SLA rate ≥90%;
- Zero critical complaints (security/leak/abuse).
6.2 Sustained underperformance for 30 days triggers downgrade; 90 days triggers termination at Platform discretion.
7. Penalties

7.1 The above amounts represent a genuine pre-estimate of loss and are not penalties, consistent with Andrews v ANZ Banking Group (Australian common law).
8. IP & Confidentiality
8.1 The following constitute Platform Confidential Information:
- Client list, contacts, order history;
- Client credentials, match replays;
- Pricing strategy, anti-fraud rules, internal tooling;
- Platform's commercial arrangements with Riot, payment processors, VPN suppliers.
8.2 Confidentiality obligations survive 3 years post-termination.
8.3 Replays and coaching content produced by the Booster during orders are owned by the Platform; Booster grants an irrevocable licence.
9. Indemnity
9.1 The Booster shall indemnify and hold harmless the Platform from:
- Client claims arising from Booster's personal conduct (cheating, abuse);
- Privacy Act complaints or proceedings caused by Booster leaks;
- Client claims caused by Booster misrepresentation (e.g. fake Riot rank);
- Tax disputes arising from Booster's failure to declare income in their home jurisdiction.
9.2 The Platform's liability to the Booster is limited to gross negligence or wilful misconduct, capped at the commission paid in the preceding 12 months.
10. Termination
10.1 Either party may terminate with 7 days' written notice (email sufficient), no cause required.
10.2 Immediate termination by Platform for any Section 7 critical breach, no notice.
10.3 Outstanding commission (less forfeitures) shall be paid within 14 days of termination.
11. Survival
Clauses 8 (Confidentiality), 9 (Indemnity), and 12 (Governing law) survive termination.
12. Governing Law
This Agreement is governed by the laws of Victoria; disputes are subject to the exclusive jurisdiction of the courts of Victoria.
